THIS LICENSE AGREEMENT, is between you (the “Licensee”), and Double-J Design (http://www.doublejdesign.co.uk) (the “Licensor”). By purchasing or downloading any stock icons licensed by Double-J Design, you agree to the followings:
Ownership of Work
Licensor owns all proprietary rights in and to all copyrightable works, generally described as stock icons, all of which are displayed and viewable at http://www.doublejdesign.co.uk (the “Work”), and has the exclusive right to license others to produce, copy, make, or sell the Work.
Grant of License
Licensee can be granted either a Standard license or Extended license. If Licensee does not specify an Extended license, or if an Extended license is not available for the Work requested, the Work will be subject to Standard license terms.
Free License (Creative Common 3.0 Attribution)
Licensee is granted a non-exclusive, non-transferrable license to use the Work, for personal, commercial, and client projects. Licensee MUST attribute the work in the manner specified by the Licensor (but not in any way that suggests that they endorse you or your use of the work).
Standard License
Licensee is granted a non-exclusive, non-transferrable license to use the Work, royalty free, for personal, commercial, and client projects, including advertising, web design, software application, multimedia design, film, video, and computer games. Licensee may not use the Work in projects that it intends to sell or distribute.
Extended License
Licensee who has obtained an Extended license has a non-exclusive, non-transferrable rights to use the Work for in the course of its business and to otherwise copy, make and use the Work in its own products that it intends to sell or distribute.
License Prohibitions
Licensee may not do anything with the Work that is considered by Double-J Design (acting reasonably) as or under applicable law is considered pornographic, obscene, immoral, infringing, defamatory or libelous in nature, or that would be reasonably likely to bring any person or property reflected in the Work into disrepute. Licensee may not place licensed icons on any website in a complete or archived downloadable format.
Assignment
Licensee may not convey, sublicense, assign, transfer, pledge, hypothecate, encumber or otherwise dispose of this Agreement without the prior written consent of the Licensor.
Indemnification
Licensee shall fully indemnify, defend, and hold harmless Licensor from and against any and all claims, losses, damages, expenses, and liability.
Acknowledgement
YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT, UNDERSTAND IT PRIOR TO AGREEING TO IT. IN CONSIDERATION OF DOUBLE-J DESIGN AGREEING TO PROVIDE THE WORK, YOU AGREE TO BE BOUND BY THE TERMS AND CONDITIONS OF THIS AGREEMENT. YOU FURTHER AGREE THAT IT IS THE COMPLETE AND EXCLUSIVE STATEMENT OF THE AGREEMENT BETWEEN YOU AND DOUBLE-J DESIGN, WHICH SUPERSEDES ANY PROPOSAL OR PRIOR AGREEMENT, ORAL OR WRITTEN, AND ANY OTHER COMMUNICATION BETWEEN YOU AND DOUBLE-J DESIGN RELATING TO THE SUBJECT OF THIS AGREEMENT.
